Yumyo Merchants

1. Overview and Purpose
These Merchant Terms of Use (“Terms”) govern your access to and use of the Yumyo platform as a registered merchant partner. Yumyo is a technology platform that enables local businesses, including restaurants, convenience stores, gift shops, and other merchants (“you” or “Merchant”), to offer products and services to customers via our mobile and web applications. By registering as a Merchant, accessing the Yumyo dashboard, uploading menu or product information, or otherwise using the Yumyo platform, you agree to be bound by these Terms, our Privacy Policy, and any applicable guidelines or supplemental agreements. These Terms form a legally binding agreement between you and Yumyo for the Merchant to adhere to these Terms.
The purpose of these Terms is to establish clear guidelines for:
- Your responsibilities as a Merchant on the Yumyo platform
- How orders, payments, and commissions are handled
- The acceptable use of Yumyo services
- Compliance with relevant laws and regulations
- Our mutual rights, limitations, and obligations
2. Definitions
The following definitions apply throughout these Terms of Use:
- "Platform" refers to the Yumyo website, mobile applications, merchant dashboard, APIs, and all related services provided by Yumyo.
- "Merchant" refers to any business or individual authorized to sell products or services through the Yumyo platform.
- "Customer" refers to any end user who places an order through the Yumyo platform.
- "Order" means a transaction initiated by a Customer to purchase goods or services from a Merchant via the Platform.
- "Commission" refers to the percentage of each Order collected by Yumyo as a service fee.
- "Content" refers to all images, text, logos, menus, and other materials uploaded or displayed by or for the Merchant on the Platform.
- "Terms" means these Merchant Terms of Use and any supplemental policies or updates provided by Yumyo.
- "Yumyo IP" includes all patents, patent applications, inventions, copyrights, trade secrets, Marks, ideas, images (including descriptions of such images), domain names, and any and all other works and materials developed by DoorDash (including all intellectual property rights therein and thereto), and similar rights owned by DoorDash that are embodied in the DoorDash Product or any other DoorDash technology or platform.
3. Eligibility and Merchant Registration
To register as a Merchant on the Yumyo platform, you must be a duly authorized representative of a legally registered business that is permitted to sell goods or services under applicable local, regional, and national laws. By creating a merchant account, you represent and warrant that:
- You are at least 18 years of age and have the legal authority to bind your business to this agreement.
- Your business holds all required licenses, permits, health and safety certifications, and tax registrations necessary to operate in your jurisdiction.
- All information provided during registration (including business name, contact information, bank account, and license numbers) is complete, accurate, and up to date.
- You will notify Yumyo immediately of any changes to your business status, licensing, or legal ability to operate.
Yumyo reserves the right to request documentation to verify your eligibility at any time, and to suspend or terminate your access to the platform if we determine that you no longer meet the requirements of this section. By registering for a Yumyo merchant account, you agree to be bound by these Terms of Use, including any future updates which may be provided via email or platform notice. If you do not agree with these Terms, you may not access or use the Yumyo platform.
4. Services Provided by the Platform
Yumyo operates as a technology platform that connects Merchants with Customers to facilitate the ordering and delivery of food, goods, and other services. Yumyo provides:
- An online interface for Merchants to list and manage their products and services
- Order processing, real-time tracking, and customer notifications
- Delivery coordination via Yumyo-employed drivers or third-party couriers
- Payment processing and payout facilitation
- Customer support and dispute resolution services related to the platform
Yumyo does not prepare, package, or inspect any food, beverages, or other products sold by Merchants on the platform. Yumyo does not control or supervise Merchant operations, employees, or service quality. All products are offered and fulfilled solely by the Merchant, who remains fully responsible for compliance with applicable health, safety, and business regulations.
5. Merchant Responsibilities
By using the Yumyo platform, you agree to maintain high standards of quality, professionalism, and operational accuracy. As a Merchant, you are responsible for:
- Fulfilling all orders received through the platform accurately, promptly, and in compliance with food safety, health, and local business regulations
- Packaging items safely and appropriately for delivery. Yumyo delivery drivers are not responsible for packaging, bagging, or preparing any items or goods that are to be delivered
- Ensuring that all product listings, pricing, availability, and business information are accurate and kept up to date at all times
- Maintaining consistent operational hours as displayed on the platform
- Responding promptly and professionally to Yumyo customer support inquiries related to your business
- Notifying Yumyo in advance of any temporary closures, outages, or operational disruptions
- Maintaining full compliance with all applicable laws, regulations, codes, ordinances, and governmental directives that apply to your business, products, services, or industry — including but not limited to food safety, health inspections, tax reporting, and consumer protection laws
- Ensuring that all food or goods provided to customers are fresh, safe, and free from contamination. Merchants are solely responsible for the quality and safety of all products sold through the Yumyo platform, including liability for any foodborne illness, allergic reactions, spoilage, or intentional or accidental contamination
6. Prohibited Conduct
To maintain the integrity of the Yumyo platform, Merchants are strictly prohibited from engaging in the following behaviors: (i) submitting false, misleading, or fraudulent information during onboarding or operations; (ii) attempting to circumvent the platform to transact with customers directly; (iii) providing unsafe, expired, or low-quality products; (iv) engaging in deceptive pricing or false advertising; (v) communicating with customers or drivers in an abusive, threatening, or inappropriate manner; (vi) sharing or misusing customer personal information beyond fulfillment purposes; (vii) violating food safety, health, advertising, tax, or business laws; (viii) using the Yumyo brand, logo, or platform content without prior written consent; (ix) accessing, modifying, or interfering with any part of the Yumyo platform through unauthorized means including hacking, reverse engineering, or exploitation of vulnerabilities; and (x) engaging in any action intended to degrade system performance, overload infrastructure, introduce malware, or otherwise disrupt the platform’s operations or user experience.
Yumyo reserves the right to investigate violations and may suspend, restrict, or permanently terminate merchant accounts at its sole discretion. Legal action may be pursued in the event of intentional harm, misuse, or unauthorized access attempts.
7. Fees, Commission & Payment Terms
Yumyo charges Merchants a service commission on each successfully completed order processed through the platform. The commission rate applicable to your account will be added by you during onboarding or within your merchant dashboard. Yumyo reserves the right to adjust commission rates with reasonable notice. Payouts to Merchants are issued on a weekly basis to the bank account provided during registration. Payouts reflect the gross order total minus Yumyo's commission, applicable transaction fees, and any refunds or chargebacks processed within the period. Merchants are responsible for all applicable taxes, including but not limited to sales tax, VAT, consumption tax, or other local tax requirements. Yumyo does not withhold or remit taxes on your behalf unless explicitly required by law. You agree to comply with all tax reporting obligations in your jurisdiction. In the event of a customer dispute, refund, or chargeback, Yumyo will investigate the issue and may deduct the disputed amount from your payout if the Merchant is found to be at fault (e.g., incorrect item, non-delivery, quality issue). If a chargeback is found to be fraudulent or outside the Merchant's control, Yumyo will make reasonable efforts to dispute it on your behalf.
8. Order Cancellation & Refund Policy
Orders placed through the Yumyo platform may be canceled under limited conditions. Customers may cancel orders within a short grace period after submission, or prior to preparation, as determined by Yumyo and platform logic. Merchants may cancel an order only in cases of stock unavailability, operational failure, or other justifiable cause. If a refund is issued due to Merchant error (e.g., missing items, incorrect items, non-fulfillment), the Merchant will be responsible for the cost of the refund. Yumyo reserves the right to deduct such refunds from future payouts. If a refund is due to driver error, app failure, or other platform-side issues, Yumyo will cover the cost of the refund. Yumyo acts as the final arbiter in disputes between Customers and Merchants regarding cancellations and refunds. Both parties agree to cooperate in good faith and provide relevant documentation, photos, or evidence when requested to resolve a dispute.
9. Data Privacy & Security
Merchants are required to comply with all applicable data privacy and protection laws, including but not limited to the Personal Information Protection Act (PIPA), the General Data Protection Regulation (GDPR), and any other regional privacy frameworks applicable to their operations. Merchants may only access and use customer data for the sole purpose of fulfilling orders placed through the Yumyo platform. Under no circumstances may customer data be copied, shared, sold, or used for marketing purposes outside the scope of order fulfillment. Merchants must take appropriate technical and organizational measures to protect customer information from unauthorized access or disclosure. For more details, please refer to our Privacy Policy.
10. Platform Availability & Modifications
Yumyo strives to provide reliable and continuous access to its platform, but availability may occasionally be interrupted due to scheduled maintenance, system updates, or technical issues. Yumyo reserves the right to (i) modify or remove features, functionalities, or services offered on the platform; (ii) update the user interface or merchant dashboard; and (iii) make improvements or enhancements without prior notice. Merchants agree that continued use of the platform after such modifications constitutes acceptance of the changes.
11. Termination and Suspension
Yumyo may suspend or permanently terminate a merchant’s access to the platform if the merchant (i) violates these Terms of Use, (ii) receives repeated customer complaints, (iii) engages in fraudulent or abusive behavior, or (iv) fails to comply with applicable laws and regulations. Merchants may request to close their account at any time by submitting a formal request through the Yumyo dashboard or support team. Upon termination by either party, Yumyo will process any outstanding payouts in accordance with the merchant’s payment schedule and retain order and transaction records as required by law. Yumyo may also permanently remove all merchant content from the platform following account closure, unless otherwise required by regulation.
12. Limitation of Liability
Yumyo acts solely as a technology provider and logistics coordinator. Yumyo is not responsible for (i) the quality, safety, or condition of food or goods provided by the merchant; (ii) delays caused by the merchant or external events; (iii) customer dissatisfaction related to product contents or packaging; or (iv) any damages arising from the merchant’s failure to comply with applicable regulations. To the fullest extent permitted by law, Yumyo’s total liability to the merchant for any claim arising under these Terms will not exceed the total amount of commission fees collected by Yumyo from the merchant in the thirty (30) days preceding the event giving rise to the claim.
13. Indemnification
The merchant agrees to indemnify, defend, and hold harmless Yumyo, its affiliates, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from or related to:
- Food safety violations or contamination caused by the merchant
- Intellectual property infringement resulting from merchant content or branding
- Customer complaints, injuries, or damages caused by the merchant's products, services, or actions
- Violation of local, national, or international laws or regulations by the merchant
- Use or misuse of customer data in violation of Yumyo's privacy standards
Yumyo reserves the right to assume the exclusive defense and control of any matter subject to indemnification by the merchant, in which case the merchant agrees to cooperate fully as reasonably required.
